Terms of service
This document outlines what you should expect when working with J M Allen Video and what is expected of you (the client). If you are not comfortable with any of these terms, please make this clear in advance so that an agreement can be made that suits your needs.
These terms and conditions will represent a contract between J M Allen Video and client according to the laws of England and Wales.
1 | Quotes and Estimates
1.1. All projects begin with an estimated cost for the work that needs to be carried out. J M Allen Video will present this as a bespoke quotation based on information supplied by the client with regards to the brief.
1.2. All prices are prepared based on a best estimation at time of submission, taking into account information supplied by the client. If further requests are made or this information is found to be inaccurate, J M Allen Video will issue a new quote based on accurate information and evidence to settle the difference, and this must be agreed by both parties before work commences.
1.3. All prices given on the quote are correct at the time of writing but may be subject to future changes due to external factors.
1.4. The estimated quote is valid for 30 days, unless otherwise stated. After this 30-day period, values may be subject to change.
1.5. Written or verbal acceptance of the quotation automatically signifies acceptance of the terms and conditions set out here and indicates an agreement between J M Allen Video and the client.
1.6. Only the services described in the quotation are included within the price given. Any other works or service outside of the scope of the quote given will be chargeable. Any modification or extra work that falls outside of the remit of the quotation must first be agreed with a price and signed by both parties before it may go ahead.
1.7. An up-to-date list of rates and prices can be found at www.jmallenvideo.com and a current rate card can be requested by the client at any time.
2 | Scope of work
2.1. Once a start date for your project has been agreed, J M Allen Video will endeavour to carry out the listed video production services to a high and expected professional standard.
2.2. Whilst all reasonable effort will be made to carry out the required services, J M Allen Video reserves the right to alter or cancel some or all work at short notice in the case of reasons beyond control. You will be informed immediately and attempts to reschedule the works for a future date will be made. In the event that work cannot be rescheduled, you will not be charged for our service.
2.3. You will be given opportunities to provide feedback at various stages throughout the project. Your feedback needs to be provided within 10 days of request, unless otherwise stated. If your feedback is not received in a timely manner, the project will be marked as complete in its current form, or the project will be completed to the interpretation of J M Allen Video.
2.4. You are entitled to one free revision of the project. Any additional revisions will be chargeable.
2.5. Once a project has been completed and the final invoice has been issued, future amendments and changes will be chargeable.
3 | Invoicing & Payment
3.1. All invoices are issued on a 14-day payment term and can be paid by PayPal or BACS payment. Payment details will be provided with each invoice.
3.2. On acceptance of a quote, a 25% non-refundable deposit of the balance shall be immediately due for settlement before work commences. On completion of works an invoice shall be raised to settle the remaining balance.
3.3. If the invoice is not settled within 30 days of the invoice date, J M Allen Video reserves the right to begin legal proceedings to recover the outstanding fees with the client liable for J M Allen Video's legal fees for doing so.
3.4. Failure to make payments on time could result in delays to your project. If you are unable to meet the payment details please make this clear at the time of your order.
3.5. For large projects, invoices may be issued in stages as project milestones are reached. For example, after filming has taken place and upon completion of the edit.
4 | Time Definitions
4.1. All Services provided by J M Allen Video are typically priced on a time basis and are provided between the hours of 8AM and 6PM, unless otherwise stated.
4.2. A day is defined as up to 10 hours of service within one calendar day, including set up and pack down. Additional hours will be billed at the hourly rate of service.
4.3. During the pre- and post-production process, service time may by divided across multiple calendar days, at the discretion of J M Allen Video.
5 | Intellectual Property
5.1. Upon payment of the project’s final invoice, any transferable ownership rights for all copies of the finished production are passed to the named client as listed on the invoice.
5.2. Digital copies of your final production will be made available for download via a hosting provider of J M Allen Video’s choice. You will typically be granted 30 days access to complete this download.
5.3. If you would like a raw copy of the production data (original footage), the client must supply a compatible storage device with enough capacity to hold the data. Delivery and packaging costs will need to be covered by the client.
5.4. All working project files that could reveal the workflows and creative methods used by J M Allen Video are owned solely and indefinitely by J M Allen Video and are not transferable upon completion unless agreed in advance of the production process. During the production of your video, third party assets and plug-ins may be used and these assets are not transferable and shall remain the intellectual property of J M Allen Video.
5.5. J M Allen Video may use copies of your finished production, screenshots and other materials related to your project at our discretion as part of our own marketing efforts. As the client, you have the option to opt-out at any time.
5.6. If you provide licensed content for J M Allen Video to use, it is the responsibility of the client to ensure that they have the correct license for intended use, and that you retain and renew the licenses when required. J M Allen Video will not use any unlicensed copyrighted content in productions and may ask for proof of license agreements.
5.7. Third party content (footage, photos, music) purchased by J M Allen Video for use in your project will be licensed under our name for web-use. If you require a license for additional uses you must inform J M Allen Video before licenses are purchased. It is the responsibility of the client the pay for additional license costs in order to retain these licenses if required.
5.8. For further information about how J M Allen Video collects, stores and retains data, please refer to the Privacy Policy.
6 | Consent, Liability, Indemnity and Limitations
6.1. It is the responsibility of the client to ensure that consent has been obtained from all parties that are photographed of filmed for the purposes of the project. Consent should cover all intended uses of the end production, including the potential for J M Allen Video to use your finished project as part of our marketing efforts.
6.2. J M Allen Video can provide examples of consent forms but it is the responsibility of the client to ensure that the form that is used to gain consent is legally fit for purpose.
6.3. When asking J M Allen Video to film or photograph children you acknowledge that you understand the laws surrounding the use of children in advertising, that the production is in compliance with these laws, and that you are responsible for obtaining, maintaining permission, consent and any additional licenses. Evidence of this compliance and parental consent will need to be made available to J M Allen Video for inspection when requested as a safeguarding matter.
6.4. Productions completed by J M Allen Video should not be passed off as another company or individual’s work without prior consent and/or attribution to J M Allen Video. Work produced by J M Allen Video must not be used within a portfolio, submitted into video production or marketing awards, or displayed publicly for the sole purpose of showcasing the work itself.
6.5. As the client, you agree that the content you are instructing J M Allen Video to produce is lawful and that you indemnify J M Allen Video against any consequences as a result of it not being so.
